1. ACCEPTANCE OF TERMS

Welcome to GogHR! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GogHR, Inc. ("GogHR," "we," "us," or "our"), a Delaware corporation, governing your access to and use of the GogHR AI-powered recruitment platform, including our website, applications, and related services (collectively, the "Platform").

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

2. DEFINITIONS

• "Candidate" means an individual seeking employment who uses the Platform to apply for jobs, participate in interviews, and engage with recruiters.
• "Recruiter" means an individual or entity using the Platform to post jobs, review candidates, conduct assessments, and manage hiring processes.
• "Employer" means an organization that utilizes the Platform to identify, evaluate, and hire talent.
• "User Content" means any data, information, text, images, video, audio, resumes, job postings, or other content submitted, uploaded, or created by Users on the Platform.
• "AI Services" means artificial intelligence-powered features including video interviews, candidate assessments, skill evaluations, job matching, and automated screening.
• "Subscription" means a paid plan granting access to premium Platform features as described in the applicable Subscription Agreement or pricing page.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.

3.2 Account Registration

• Accuracy: You must provide accurate, complete, and current information during registration and maintain the accuracy of your account information.
• Account Types: - Candidate Accounts: For individuals seeking employment - Recruiter Accounts: For individual recruiters or hiring managers - Employer/Enterprise Accounts: For organizations (requires authorized representative)
• Authority: If registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.3 Account Security

• Credentials: You are responsible for maintaining the confidentiality of your username, password, and account credentials.
• Unauthorized Access: You must immediately notify us at info@goghr.ai if you suspect unauthorized access to your account.
• Liability: You are solely responsible for all activities that occur under your account, whether or not authorized by you.
• Prohibited Sharing: Account sharing is prohibited. Each user must have their own account.

4. PLATFORM SERVICES

4.1 Services Provided

GogHR provides an AI-powered recruitment platform offering:

• For Candidates: - Profile creation and resume management - Job search and application submission - AI-driven video interviews and assessments - Skill evaluations and competency testing - Application tracking and status updates - Feedback and career development insights - Communication tools for engaging with recruiters
• For Recruiters and Employers: - Job posting and distribution - Candidate database search and filtering - AI-powered candidate matching and ranking - Video interview hosting and review - Automated screening and assessment - Collaborative hiring tools and workflows - Analytics, reporting, and insights - Applicant tracking system (ATS) features

4.2 License Grant

Subject to your compliance with these Terms, GogHR grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose during the term of your Subscription (if applicable) or while your account remains active.

Restrictions: You may not: - Sublicense, sell, rent, lease, or otherwise transfer your rights - Modify, reverse engineer, or create derivative works from the Platform - Access the Platform to build a competitive product or service - Use automated tools to scrape, data mine, or extract data - Remove or alter proprietary notices or labels

5. USER CONDUCT AND ACCEPTABLE USE

5.1 Prohibited Activities

You agree NOT to:

• Illegal or Harmful Conduct: - Violate any applicable laws, regulations, or third-party rights - Engage in fraud, impersonation, or misrepresentation - Harass, threaten, defame, or discriminate against others - Upload malware, viruses, or harmful code - Attempt to gain unauthorized access to Platform systems or data
• Abusive Practices: - Submit false, misleading, or inaccurate information - Create fake accounts or multiple accounts to evade restrictions - Manipulate or game AI assessments - Spam, solicit, or advertise without authorization - Interfere with Platform operations or other users' access
• Recruitment-Specific Violations: - Post discriminatory job listings (based on race, gender, age, religion, disability, etc.) - Advertise illegal employment opportunities - Request sensitive personal information beyond what's necessary for hiring - Misuse candidate data or violate privacy rights - Engage in bait-and-switch recruiting tactics
• Intellectual Property Violations: - Infringe copyrights, trademarks, patents, or trade secrets - Use Platform content without authorization - Upload content you don't have rights to

5.2 Employment Law Compliance

Recruiters and Employers must comply with all applicable employment laws, including but not limited to: - Anti-discrimination laws (Title VII, ADA, ADEA, etc. in the US; Equality Act in the UK; equivalent laws globally) - Labor and wage regulations - Data protection and privacy laws - Immigration and work authorization requirements

GogHR is not responsible for your compliance with employment laws. You are solely liable for legal violations arising from your use of the Platform.

5.3 AI Assessment Integrity

• Candidates: You must participate in AI interviews and assessments honestly. Prohibited actions include: - Using third-party assistance or impersonation during interviews - Recording or distributing interview questions - Manipulating video or audio feeds - Utilizing unauthorized tools or resources during assessments
• Violations may result in immediate disqualification and account termination.

6. USER CONTENT

6.1 Ownership

You retain ownership of User Content you submit to the Platform (e.g., resumes, job postings, interview recordings).

6.2 License to GogHR

By submitting User Content, you grant GogHR a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to: - Use, reproduce, modify, adapt, and publish User Content to provide Platform services - Display User Content to relevant parties (e.g., show candidate profiles to recruiters) - Create derivative works for AI training, service improvement, and analytics - Store, backup, and transmit User Content through our infrastructure

• Duration: This license continues as long as your account is active and for a reasonable period thereafter to fulfill our retention obligations.
• Anonymized Data: We may use anonymized or aggregated data derived from User Content indefinitely for analytics, research, and service improvement.

6.3 Candidate Data Sharing

• Candidates: By applying to a job or participating in an interview, you authorize GogHR to share your profile, resume, interview recordings, and assessment results with the relevant Recruiter or Employer.
• Control: You control which employers see your data by selecting which jobs to apply for.
  
  

6.4 Content Responsibilities

You represent and warrant that: - You own or have necessary rights to all User Content you submit - Your User Content does not violate third-party rights or applicable laws - Your User Content is accurate and not misleading - Your User Content complies with these Terms and our Acceptable Use Policy

You are solely responsible for your User Content. GogHR is not liable for any claims arising from User Content you submit.

6.5 Content Monitoring and Removal

GogHR reserves the right, but has no obligation, to: - Monitor, review, or moderate User Content - Remove or disable access to User Content that violates these Terms - Suspend or terminate accounts for policy violations - Report illegal content to authorities

We do not pre-screen content but may remove it upon notice or discovery of violations.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 GogHR Ownership

The Platform, including all software, algorithms, AI models, designs, trademarks, logos, graphics, text, and other content provided by GogHR (excluding User Content), is owned by GogHR, Inc. and protected by: - Copyright laws (United States and international) - Trademark laws - Patent laws (pending and granted) - Trade secret protections

GogHR®, goghr.ai, and associated logos are trademarks of GogHR, Inc.

7.2 Restrictions

You may not: - Copy, reproduce, or distribute Platform materials without written permission - Use GogHR trademarks or branding without authorization - Reverse engineer, decompile, or disassemble Platform software or AI models - Create derivative works based on GogHR intellectual property - Access Platform source code or proprietary algorithms

7.3 Feedback

If you provide suggestions, feedback, or ideas about the Platform ("Feedback"), you grant GogHR an unrestricted, perpetual, irrevocable, royalty-free right to use, implement, and commercialize such Feedback without compensation or attribution.

8. PAYMENT AND SUBSCRIPTIONS

8.1 Subscription Plans

GogHR offers various subscription tiers with different features and pricing. Current plans and pricing are available at https://goghr.ai/pricing or as specified in your Subscription Agreement.

Plan Types: - Free Plan: Limited features, no payment required - Professional Plan: Enhanced features for individual recruiters or small teams - Enterprise Plan: Advanced features, dedicated support, custom contracts

8.2 Fees and Billing

• Payment Authorization: By subscribing to a paid plan, you authorize GogHR to charge your designated payment method for applicable fees.
• Billing Cycle: Subscriptions are billed monthly or annually as selected. Charges occur on the subscription start date and each renewal date.
• Payment Methods: We accept credit cards, debit cards, and other payment methods processed through Stripe or PayPal.
• Automatic Renewal: Subscriptions automatically renew unless you cancel before the renewal date.
• Price Changes: We may change pricing with 30 days' advance notice. Continued use after the effective date constitutes acceptance of new pricing.
• Taxes: Fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, and other taxes (excluding taxes on GogHR's income).

8.3 Refunds and Cancellations

• Cancellation: You may cancel your subscription at any time through account settings or by contacting info@goghr.ai.
• Effect of Cancellation: Access to paid features continues until the end of the current billing period. No refunds for partial months or unused time.
• Refund Policy: - No refunds for monthly subscriptions - Pro-rata refunds may be available for annual subscriptions canceled within 14 days of initial purchase (contact support) - No refunds for violations of Terms or account termination by GogHR
• Downgrades: Downgrading to a lower-tier plan takes effect at the next renewal date.

8.4 Free Trials

We may offer free trials for paid plans. Terms specific to trials: - Trial duration specified at sign-up - Credit card required; automatic charge upon trial expiration unless canceled - One trial per user/organization - We reserve the right to determine trial eligibility

8.5 Payment Disputes

• Chargebacks: Initiating a chargeback may result in immediate account suspension pending resolution. Fraudulent chargebacks may result in permanent termination and legal action.
• Billing Errors: Contact info@goghr.ai within 30 days of the charge to dispute billing errors.

9. TERM AND TERMINATION

9.1 Term

These Terms commence when you first access the Platform and continue until terminated as described below.

Subscription Term: Paid subscriptions continue for the selected billing cycle (monthly or annual) and renew automatically unless canceled.

9.2 Termination by You

You may terminate your account at any time by: - Using the account deletion feature in account settings - Sending a written request to info@goghr.ai

Effect: Access to the Platform terminates immediately or at the end of the billing period (for paid subscriptions). Data retention is governed by our Privacy Policy.

9.3 Termination by GogHR

We may suspend or terminate your account immediately, with or without notice, if: - You violate these Terms or our policies - You engage in fraudulent or illegal activity - You abuse the Platform or harm other users - Your account is inactive for more than 2 years (free accounts) - You fail to pay subscription fees (15-day grace period) - Required by law or legal process - We discontinue the Platform (with 30 days' notice)

9.4 Effects of Termination

Upon termination: - Your license to use the Platform immediately terminates - We may delete your account and User Content (subject to retention policies) - You remain liable for any outstanding fees - Sections of these Terms that by their nature should survive (e.g., limitations of liability, indemnification) remain in effect

9.5 Data Retention After Termination

See our Privacy Policy for details on data retention and deletion following account termination. You may request expedited deletion by contacting info@goghr.ai.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 Platform Provided "AS IS"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, GOGHR DISCLAIMS ALL WARRANTIES, INCLUDING: - Merchantability, fitness for a particular purpose, and non-infringement - Accuracy, reliability, or completeness of content or AI assessments - Uninterrupted, secure, or error-free operation - Compatibility with your systems or requirements - Third-party content, links, or integrations

10.2 No Employment Guarantees

• For Candidates: GogHR does not guarantee job placement, interview invitations, or hiring outcomes. Recruiters make all hiring decisions independently.
• For Recruiters: GogHR does not guarantee the quality, suitability, or accuracy of candidate information. You are responsible for verifying candidate qualifications and conducting due diligence.

10.3 AI Limitations

AI Services are not perfect. AI assessments, recommendations, and evaluations: - May contain errors, inaccuracies, or biases - Are intended to assist, not replace, human judgment - Should not be the sole basis for hiring or employment decisions - Are based on available data and may not reflect all relevant factors

You acknowledge and accept these limitations.

10.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

GOGHR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

(A) INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (including lost profits, data loss, business interruption, reputational harm) ARISING FROM OR RELATING TO: - Your use or inability to use the Platform - User Content or conduct of other users - AI assessment errors or hiring decisions - Unauthorized access to your account or data - Platform downtime, errors, or security breaches

(B) ANY DAMAGES EXCEEDING THE GREATER OF: - $100 USD, or - Amounts paid by you to GogHR in the 12 months preceding the claim

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, etc.) and even if GogHR has been advised of the possibility of such damages.

10.5 Exceptions

Some jurisdictions do not allow limitation of implied warranties or exclusion of certain damages. In such jurisdictions, the above limitations apply only to the extent permitted by law, and you may have additional rights.

10.6 No Liability for Third Parties

GogHR is not responsible for: - Actions, content, or services of third-party platforms (LinkedIn, job boards, etc.) - Conduct of recruiters, employers, or candidates - Accuracy of third-party data or integrations - Payment processor errors or failures

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GogHR, Inc., its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use or misuse of the Platform
(b) Your violation of these Terms or applicable laws
(c) Your User Content, including claims of infringement or defamation
(d) Your violation of third-party rights
(e) Employment law violations or hiring decisions made using the Platform
(f) Unauthorized access to your account due to your failure to secure credentials

GogHR reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully.

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

International Users: To the extent required by your local laws (e.g., GDPR in the EU, consumer protection laws), those laws shall also apply.

12.2 Arbitration Agreement (US Users)

PLEASE READ CAREFULLY: THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

• Agreement to Arbitrate: You and GogHR agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration rather than in court, except as specified below.
• Arbitration Rules: Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individual disputes) or Commercial Arbitration Rules (for business disputes), available at www.adr.org.
• Arbitration Location: Arbitration hearings shall take place in New Castle County, Delaware, or remotely via videoconference if all parties agree.
• Arbitrator Authority: The arbitrator may award the same damages and relief as a court, including injunctive or declaratory relief, but only to the extent required to satisfy your individual claim.
• Costs: Each party bears its own arbitration costs. GogHR will pay AAA filing fees for claims under $10,000 (unless the arbitrator finds the claim frivolous).
• Exceptions to Arbitration: - Small claims court actions (if within jurisdictional limits) - Intellectual property disputes (patents, copyrights, trademarks, trade secrets) - Injunctive relief to prevent immediate harm
• Class Action Waiver: YOU AND GOGHR AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.
• Opt-Out: You may opt out of this arbitration agreement by sending written notice to info@goghr.ai within 30 days of first accepting these Terms. Your notice must include your name, address, and statement that you wish to opt out of arbitration.

12.3 Jurisdiction and Venue (Non-Arbitrable Disputes)

For disputes not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and waive any objection to venue or inconvenient forum.

12.4 EU/EEA Users

If you are located in the EU/EEA, you may also bring claims in the courts of your country of residence under applicable EU consumer protection laws.

13. PRIVACY AND DATA PROTECTION

13.1 Privacy Policy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, disclose, and protect your personal data.

You must review and agree to the Privacy Policy to use the Platform.

13.2 Data Processing Agreement (Enterprise Users)

Enterprise customers processing personal data through the Platform must execute a Data Processing Agreement (DPA) to ensure GDPR and other data protection law compliance.

13.3 Video and Voice Recording Consent

• Explicit Consent Required: Before participating in AI video interviews, you must provide explicit consent to: - Record video and audio - Analyze recordings using AI - Share recordings with prospective employers - Use recordings for AI training (optional, separate consent)
• Withdrawal: You may withdraw consent and request deletion of recordings by contacting info@goghr.ai.

14. THIRD-PARTY SERVICES AND INTEGRATIONS

14.1 Third-Party Links

The Platform may contain links to third-party websites, applications, or services (e.g., LinkedIn, job boards, payment processors). GogHR is not responsible for third-party content or practices.

You access third-party services at your own risk and should review their terms and privacy policies.

14.2 Integrations

You may authorize the Platform to integrate with third-party services (e.g., importing your LinkedIn profile). By authorizing integrations: - You grant GogHR permission to access and use data from the third-party service as necessary to provide Platform features - You are subject to the third party's terms and policies - GogHR is not liable for third-party service interruptions or data breaches

14.3 API and Data Providers

GogHR uses third-party APIs and services, including: - OpenAI – AI and natural language processing - AWS – Cloud hosting and infrastructure - Stripe/PayPal – Payment processing

These providers have their own terms and privacy policies, which you should review.

15. EXPORT CONTROL AND SANCTIONS

You represent and warrant that you: - Are not located in a country subject to US government embargo or designated as a "terrorist supporting" country - Are not listed on any US government prohibited or restricted party list (e.g., OFAC SDN List) - Will comply with all applicable export control laws and regulations

You agree not to use the Platform in violation of US export laws or sanctions.

16. MODIFICATIONS TO TERMS

16.1 Right to Modify

GogHR reserves the right to modify these Terms at any time. We will provide notice of material changes by: - Email to your registered address (at least 30 days before effective date) - Prominent notice on the Platform - Pop-up notification upon next login

Non-material changes (e.g., clarifications, formatting) may be made without notice by updating the "Last Updated" date.

16.2 Acceptance of Changes

Continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

If you do not agree with changes: - Stop using the Platform - Cancel your subscription (if applicable) - Request account deletion

16.3 Subscription Agreement Modifications

For paid subscribers, material changes to subscription terms will not take effect until your next renewal date unless: - Required by law - Necessary to protect safety or security - You provide explicit consent to earlier implementation

17. GENERAL PROVISIONS

17.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Data Processing Agreement (if applicable), and any Subscription Agreement, constitute the entire agreement between you and GogHR regarding the Platform and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

GogHR's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized GogHR representative.

17.4 Assignment

You may not assign or transfer these Terms or your account without GogHR's prior written consent. GogHR may assign these Terms to any affiliate, successor, or purchaser of its business or assets without restriction.

17.5 Force Majeure

GogHR is not liable for failure to perform obligations due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, labor disputes, or internet/telecommunications failures.

Section headings are for convenience only and do not affect interpretation of these Terms.

17.8 Relationship of Parties

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and GogHR. You have no authority to bind GogHR or make commitments on our behalf.

17.9 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights except as expressly stated.

17.10 Survival

Provisions that by their nature should survive termination (including ownership, limitations of liability, indemnification, dispute resolution) remain in effect after these Terms end.

20. ACKNOWLEDGMENT

BY CLICKING "I ACCEPT," CREATING AN ACCOUNT, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND THE PRIVACY POLICY.
